• System integration services
• Training and support services

3. Service Agreements

Specific services will be provided under individual service agreements that detail:

• Scope of work and deliverables
• Project timelines and milestones
• Pricing and payment terms
• Responsibilities of both parties
• Acceptance criteria and procedures

4. User Responsibilities

When using our services, you agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Use our services in compliance with applicable laws
• Not misuse or attempt to gain unauthorized access to our systems
• Cooperate with us in the delivery of services

5. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

• Invoices are payable within 30 days unless otherwise agreed
• Late payments may incur interest charges
• We reserve the right to suspend services for non-payment
• All fees are exclusive of applicable taxes

6. Intellectual Property

All intellectual property rights in our website, services, and deliverables (excluding client data and pre-existing materials) remain the property of Ionia IT or our licensors, unless otherwise agreed in writing.

Upon full payment, clients receive a license to use deliverables for their business purposes as specified in the service agreement.

7. Confidentiality

Both parties agree to:

• Keep confidential information secure and not disclose it to third parties
• Use confidential information only for the purposes of the service agreement
• Return or destroy confidential information upon request or termination

8. Warranties and Disclaimers

We warrant that our services will be performed with reasonable skill and care. However:

• We do not warrant that our services will be uninterrupted or error-free
• We are not responsible for issues arising from third-party software or services
• Results may vary based on client cooperation and business factors

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IONIA IT SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Damages exceeding the fees paid for the specific service in question

10. Termination

Either party may terminate a service agreement:

• By mutual written agreement
• For material breach by the other party (with notice and opportunity to cure)
• As specified in the individual service agreement

Upon termination, the client remains responsible for payment of services rendered to date.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Spain. Any disputes shall be subject to the exclusive jurisdiction of the courts of Spain, unless otherwise agreed.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website. Continued use of our services after changes constitutes acceptance of the modified Terms.
